Terms of service

This policy is designed to protect both the client and Science Diffusion ltd. By following this policy, we can ensure that everyone is treated fairly and that our services are available to as many people as possible.

 

  • Your intellectual property rights: Science Diffusion ltd is not responsible for any mistakes, errors, or omissions as a result of the client’s failure to provide correct materials in due time. However, we will make all reasonable efforts to assist the client in providing suitable materials.

You retain ownership of all intellectual property rights in any Documents you submit to us for review. We make no claims on any work submitted to us for review.

You are responsible for making backup and archival copies of your Documents. We are not responsible for any loss, corruption, or alteration of your Documents.

You represent and warrant that you have all necessary rights to submit the Documents to us and that the use of the Documents does not violate the copyright or other proprietary rights of any third party.

 

  • Confidentiality: The parties agree to keep all information exchanged between them confidential. This includes technical data, business plans, financial information, and customer lists.

Information may only be disclosed to employees or contractors who need to know it in order to perform their duties under this agreement.

The parties agree to take reasonable steps to protect the confidentiality of this information, such as using passwords and encryption to protect electronic data.

The following information is not confidential:

o Information that is already in the public domain.

o Information that is independently developed by the receiving party.

 

Licensing/Copyright: We publish under Creative Commons Attribution-Non-Commercial 4.0 (CC BY-NC 4.0).

You will own the animation, and we hereby assign rights to the animation to you. However, the animation may include images, music, or other content that we have licensed from a third party, which we refer to as Third Party Content. The ownership of all Third Party Content is retained by the applicable Third Party.

Because we may have included Third Party Content in the animation that we create for you, your use of the animation is subject in all respect to the following:

  • Your ownership of the animation does not extend to any Images that are incorporated therein. All such Images remain the property of us or our licensors.
  • You may not make more than 500,000 physical copies of the animation.
  • As you retain ownership of any animation created for you, except with regard to Third Party Content, you may publish the animation in any form, media, software, or technology of any kind now existing or developed in the future including but not limited to social media web sites such as Facebook, Youtube, etc.

 

  • Client product approval: The client will have the opportunity to review and approve the animation and its contents before the article is published and disseminated.

 

  • Law: The interpretation of these terms and any dispute about it will be governed by English law and subject to the exclusive jurisdiction of the English courts.

 

  • Payment Terms: If credit card payment is not made at the point of order, the total cost will be invoiced at point of booking and due within 45 days of receipt of invoice.

 

  • Cancellation by Science Diffusion ltd: If the publication is cancelled by Science Diffusion ltd for commercial or any other reason, then all monies paid by the client to Science Diffusion ltd for that publication will be refunded. The client agrees that in those circumstances they will have no further claim against Science Diffusion ltd.

 

  • Cancellation by client: If the client wishes to cancel the editorial process for a reason outside of Science Diffusion ltd’s control, then the following policy will apply:
    o Cancellations must be made in writing.
    o Cancellations made before any works have taken place will not be charged a cancellation fee.
    o Cancellations made after the draft script has been written will be charged a 50% cancellation fee of the total order value.
    o Cancellations made after the animation storyboard has been designed will be charged a 100% cancellation fee of the total order value.

Exceptions:
o Cancellations due to illness or other unforeseen circumstances will be considered on a case-by-case basis.
o Cancellations due to unsatisfactory work, and considered attempts to rectify the issue have taken place. Will be considered on a case-by-case basis.

 

  • Refunds:
    o Refunds will be issued to the original form of payment.
    o Refunds will be processed within 30 days of the cancellation date.
    o Will only refund the amount received directly to us, we will not refund external charges you may have incurred.
